Terms and Conditions

Welcome to Decal. These Terms of Service (“Terms”) govern your access to and use of the Decal mobile application, website, and related services (collectively, the “Services”) provided by Decal Labs Inc. (“Decal,” “we,” “our,” or “us”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must:

• Be at least 18 years old (or the age of majority in your jurisdiction),
• Have the legal capacity to enter into binding contracts, and
• Use the Services only for personal, lawful purposes.

The Services are not directed to children under 18, and we do not knowingly collect personal information from children. If we learn that a child under 18 has created an account, we will take steps to delete it.

By creating an account or using the Services, you represent and warrant that you meet all eligibility requirements.

2. The Services

The Services may include, without limitation:

• Digital Wallets (“Wallet”): a self-custodial blockchain wallet solution powered by third-party wallet-as-a-service providers, enabling you to create and control your own self-custodial blockchain wallet through convenient social login methods including email, phone number, passkeys, or social login accounts.
• Stored Value & Rewards (“Stored Value”): you may load value into your account using supported payment methods (fiat or stablecoins) and earn rewards when transacting with participating merchants.
• Payments: you may use your Decal balance, connected blockchain wallets, or other supported payment methods to make purchases at participating merchants or directly to other users of the Services. Although some functionality is powered by stablecoins on the backend, all consumer-facing balances and payments are displayed in local currency unless otherwise stated.
• Loyalty Features: rewards may be issued as points, credits, discounts, or similar benefits.

Unless explicitly stated, rewards:

• Have no cash value,
• Are non-transferable, and
• May expire or be revoked per program rules.

We may add, modify, or discontinue features from time to time without obligation to notify users.

3. Account Registration & Security

When creating an account:

• You must provide accurate, current, and complete information.
• You agree to keep your account information updated.

You are solely responsible for:

• Maintaining the confidentiality and security of your login credentials,
• restricting access to your device(s) or account(s), and
• all activities that occur under your account(s).

If you suspect unauthorized access, contact us immediately at support@usedecal.com
We may take steps to secure your account, including suspending access.

4. Acceptable Use

You agree not to use the Services for any purpose that is unlawful or prohibited by these Terms. Prohibited activities include, but are not limited to:

• Engaging in fraud, deception, or misrepresentation
• Violating anti-money laundering, terrorist financing, or sanctions laws
• Accessing or attempting to access other users’ accounts
• Interfering with, disrupting, or damaging our systems or networks
• Using automated means (AI agents, bots, scrapers, crawlers) without permission
• Impersonating any person or entity, or misrepresenting your affiliation
• Circumventing security measures or attempting to reverse-engineer the Services

We may monitor your use of the Services to ensure compliance with these Terms.

5. Fees

We may charge fees for certain transactions or features. If applicable, fees will be displayed before you complete a transaction. Merchants or Decal may subsidize fees during pilots, promotions, or partnerships at their sole discretion, which they may also choose to cease subsidization at their sole discretion without prior notice.

To the extent applicable in connection with a particular Service or feature, you will be solely responsible for ensuring that you have sufficient user assets in your wallet to cover any Gas Fees required to complete any transaction or effect any other use of the Services. "Gas Fees" are transaction fees determined by market conditions on the applicable protocol (e.g., the Solana network), and are not determined, set, or charged by Decal. As such, any displayed Gas Fees will be a best estimate. Merchants or Decal may subsidize Gas Fees on your behalf, with or without a bill back to you, and may also choose to cease subsidization at their sole discretion without prior notice.

You are responsible for any taxes, carrier charges, or third-party fees incurred while using the Services.

6. Intellectual Property

All intellectual property rights in the Services—including software, interfaces, text, graphics, logos, trademarks, and other content—are owned by or licensed to Decal.

You may use the Services solely for your personal, non-commercial use. You may not:

• Copy, reproduce, or distribute any portion of the Services,
• Modify, adapt, translate, or create derivative works,
• Decompile, disassemble, or reverse-engineer any part of the Services,
• Remove or alter proprietary notices or trademarks.

All rights not expressly granted are reserved by Decal.

7. Third-Party Services and Links

The Services may link to or integrate with third-party websites, applications, or services. We do not control or endorse these third parties and are not responsible for:

• Their content,
• Their privacy practices, or
• Any transactions you conduct with them.

Your use of third-party services is at your own risk.

8. Termination and Suspension

You may close your account at any time by contacting us.

We may suspend or terminate your access to the Services, with or without notice, if:

• You violate these Terms,
• We suspect fraudulent or harmful activity,
• We discontinue part or all of the Services, or
• Required by law or regulation.

After termination, certain obligations (e.g., legal, payment, dispute resolution) survive.

9. Disclaimer of Warranties

To the fullest extent permitted by law, the Services are provided “as is” and “as available”, without warranties of any kind, whether express or implied.

We do not guarantee that:

• The Services will be uninterrupted, secure, or error-free,
• Defects will be corrected, or
• Content or information will be accurate, complete, or current.

You assume all risks associated with your use of the Services.

10. Limitation of Liability

To the maximum extent permitted by law:

• Decal shall not be liable for any indirect, incidental, special, punitive, or consequential damages, including lost profits, lost data, or business interruption.
• Decal’s total liability for any claim arising out of or relating to the Services or these Terms shall not exceed the total amount of fees you paid to Decal in the 12 months preceding the event giving rise to the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless Decal and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your:

• Use of the Services,
• Violation of these Terms,
• Violation of any applicable law, or
• Infringement of any third-party rights.

12. Dispute Resolution and Arbitration

Mandatory Arbitration

Except where prohibited by law, any dispute or claim arising out of or relating to these Terms or your use of the Services will be resolved through binding arbitration under the rules of the American Arbitration Association.

Class Action Waiver

You agree that disputes will be resolved only on an individual basis. You waive any right to bring claims as a plaintiff or class member in a class, consolidated, or representative action.

Governing Law

These Terms and any disputes are governed by the laws of the State of Delaware, without regard to conflict of law principles.

13. Updates to These Terms

We may revise these Terms from time to time. If changes are material, we may provide notice (e.g., via email, in-app notice, or updated date at the top of this document).

Your continued use of the Services after any update constitutes acceptance of the revised Terms.

14. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force and effect.

15. Entire Agreement

These Terms constitute the entire agreement between you and Decal regarding your use of the Services and supersede any prior agreements or understandings.
